Annual ROC Compliance: What Every Registered Company Must File

Registering a company is the easy part — staying compliant afterward is where many founders lose track, usually because nobody explained clearly what is actually due each year.

At a minimum, every registered company needs to hold its Annual General Meeting (where applicable), file its financial statements and annual return with the Registrar of Companies, and ensure its statutory registers are kept up to date.

Missing these deadlines does not just mean a late fee — prolonged non-compliance can affect a director's eligibility to serve on other boards. The good news is that once this is set up as a recurring annual process with a firm managing your deadlines, it stops being something you need to think about.
